Terms of Service

These Terms of Service ("Terms") govern your access to and use of QMSync, a platform operated by Atida (Pty) Ltd ("QMSync", "we", "us", or "our"). By creating an account or using QMSync, you agree to be bound by these Terms. If you do not agree, do not use the platform.

These Terms are governed by the laws of the Republic of South Africa.

1. The Service

QMSync is a Software-as-a-Service (SaaS) platform that helps South African engineering firms implement, manage, and maintain an ISO 9001:2015-aligned Quality Management System. The platform includes modules for document control (including full revision history), NCR/CAPA management, internal audits, risk register, supplier management, training records, management review, quality objectives, and a personal My Tasks dashboard that aggregates open actions assigned to the signed-in user across all QMS modules.

QMSync is a management tool. It does not constitute professional certification advice, and use of the platform does not guarantee ISO 9001 certification. Certification decisions are made solely by accredited certification bodies.

2. Accounts and Access

To use QMSync you must create an account on behalf of an organisation. By doing so, you represent that:

  • 01You are at least 18 years of age
  • 02You have the authority to bind the organisation to these Terms
  • 03The information you provide is accurate and complete
  • 04You will maintain the security of your account credentials

Team Members and Invitations

The organisation owner may invite additional team members by email. Invitations are valid for 7 days and are sent to the specified email address with a time-limited acceptance link. New invitees create a password-protected account on acceptance; existing QMSync users may accept by signing in with their current credentials. The number of team members that can be invited is subject to your subscription plan limit.

User Roles

Each team member is assigned one of the following roles, which determines the actions they may perform within the platform:

ViewerRead-only access across all QMS records

You are responsible for all activity that occurs under your account and those of team members you invite. If you suspect unauthorised access, notify us immediately at support@qmsync.co.za.

3. Subscription and Billing

QMSync is offered on a subscription basis. By subscribing, you agree to the following:

Plans and Pricing

Subscription plans and their pricing are displayed on our Pricing page. Prices are stated in South African Rand (ZAR) and are inclusive of VAT where applicable. Each paid plan includes a defined limit on the number of team members that may be active at one time; the limit is shown on the Pricing page.

Trial Tier

New organisations start on the Trial tier, which provides limited access to the platform at no charge. The Trial tier does not have a fixed expiry date but has reduced feature and team-member limits. To unlock full functionality you must subscribe to a paid plan. Accounts that are cancelled or whose payments lapse revert to the Trial tier.

Billing Cycle

Subscriptions are billed monthly or annually in advance. Your subscription renews automatically at the end of each billing cycle unless cancelled before the renewal date.

Payment Processing

Payments are processed by Paystack, a third-party payment provider. By providing payment details, you authorise Paystack to charge your chosen payment method on a recurring basis. You can manage or cancel your subscription at any time via the billing portal accessible from the Settings page.

Downgrade and Cancellation

You may downgrade or cancel your subscription at any time from the Settings page. A downgrade or cancellation takes effect at the end of your current billing period; access to paid features continues until that date. We do not offer prorated refunds for partial periods, except where required by the Consumer Protection Act 68 of 2008. If a payment fails, the account reverts to the Trial tier until the payment is resolved.

4. Acceptable Use

You agree not to use QMSync to:

  • 01Violate any applicable South African or international law or regulation
  • 02Upload malicious code, viruses, or any software intended to damage or disrupt the platform
  • 03Attempt to gain unauthorised access to any part of the platform or its infrastructure
  • 04Scrape, reverse engineer, or copy the platform or its underlying technology
  • 05Use the platform to store or transmit content that is unlawful, defamatory, or fraudulent
  • 06Resell, sublicense, or otherwise commercially exploit the platform without our written consent

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

5. Your Data

You retain full ownership of all data you upload or create within QMSync ("Customer Data"). We do not claim any intellectual property rights over your Customer Data.

You grant QMSync a limited, non-exclusive licence to store, process, and display your Customer Data solely to provide the service to you. We will not access your Customer Data except to provide support, maintain the platform, or as required by law.

You are responsible for ensuring that Customer Data you upload complies with all applicable laws, including POPIA. We act as an operator of personal information under your instruction.

Upon account termination, we will retain your data for 30 days to allow export, after which it will be securely deleted.

6. Intellectual Property

All rights, title, and interest in the QMSync platform — including its software, design, trademarks, and content — remain the exclusive property of Atida (Pty) Ltd, the operator of QMSync. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the platform as described herein.

7. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible. We are not liable for service interruptions caused by third-party infrastructure providers, force majeure events, or factors outside our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by South African law, QMSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

Nothing in these Terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable South African law, including the Consumer Protection Act 68 of 2008.

9. Termination

Either party may terminate these Terms at any time. You may do so by cancelling your subscription and deleting your account. We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law.

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including sections 5, 6, 8, and 10) shall do so.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or related to these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation before the courts of South Africa.

You and QMSync both consent to the jurisdiction of the South African courts for the resolution of any dispute.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
